1. About These Terms
These terms and conditions govern the supply of services by Willgrade Media (a trading name of Lucidia Records Ltd, registered in England and Wales) to clients. By instructing us to carry out work, you agree to these terms.
2. Our Services
Willgrade Media provides: website design and development (Wix), SEO, website content creation, social media management, branding and visual content, bespoke music and audio production (including jingles, audio idents and branded tracks), press and promotional support, website maintenance and aftercare, and GEO optimisation.
3. Quotes and Estimates
Quotes provided via our instant online quote tool or directly by the team are estimates based on the information provided at the time. A final price will be confirmed in writing before work begins. We reserve the right to adjust the price if the scope of work changes after the quote has been accepted.
4. Project Commencement
Work begins once we have received written confirmation of your agreement to proceed and, where applicable, payment of the agreed deposit. A deposit of 50% of the project fee is required before work starts on most projects. The remaining balance is due on completion, prior to files or access being handed over.
5. Client Responsibilities
You agree to provide all necessary materials, content, access and information in a timely manner, review and provide feedback within the agreed timeframe, and ensure that any materials you supply do not infringe the intellectual property rights of any third party. Delays caused by late supply of materials or feedback may affect delivery timescales and are not the responsibility of Willgrade Media.
6. Revisions
Each project includes a set number of revisions as specified in the quote or proposal. Additional revisions beyond this may be charged at our standard hourly rate. We will notify you before any additional charges are applied.
7. Intellectual Property
Upon receipt of full payment, all intellectual property rights in the completed deliverables are assigned to you. We retain the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing. We retain all rights to any pre-existing materials, tools, templates or processes used in the production of your project.
8. Music and Audio Productions
All bespoke music and audio productions are created to your brief. Upon receipt of full payment, you receive a licence to use the work for the agreed purpose. Ownership of the master recording and underlying composition remains with Lucidia Records Ltd unless a full buyout has been agreed in writing.
9. SEO and AI Visibility
We provide SEO and GEO optimisation services to improve your website's visibility in search engines and AI platforms. We do not guarantee specific rankings, positions or inclusion in AI-generated results. Search engine and AI platform algorithms are outside our control and change frequently.
10. Payment Terms
Invoices are due within 14 days of the invoice date unless otherwise agreed in writing. Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend work on a project if payment is not received by the due date.
11. Cancellation
If you cancel a project after work has begun, you remain liable for the cost of work completed to the date of cancellation. Any deposit paid is non-refundable unless Willgrade Media is at fault.
12. Refunds and Completed Work
All services provided by Willgrade Media are bespoke and created specifically for each client. Once work has been completed and delivered, no refunds will be issued. This applies to all services including website design, SEO, content creation, music and audio production, branding and social media management.
By approving a deliverable — whether verbally, in writing, by making payment, or by using the delivered work — you confirm that the work meets the agreed brief. No refund claims will be accepted after approval or use of the work.
If you believe work does not meet the agreed brief, you must raise this in writing within 7 days of delivery. We will review the concern and, where reasonable, make amendments within the scope of the original brief at no additional charge. We are not obliged to issue a refund where the work has been delivered in line with the agreed brief.
Change of mind, change of business direction, or dissatisfaction with outcomes outside our control (such as search rankings or audience response) do not constitute grounds for a refund.
Deposits are non-refundable in all circumstances once work has commenced.
12A. Disputes
In the event of a dispute, both parties agree to attempt to resolve the matter informally in the first instance by contacting enquiries@willgrademedia.co.uk. We aim to respond to all formal complaints within 5 working days.
If the dispute cannot be resolved informally, both parties agree to consider mediation before pursuing legal action.
13. Limitation of Liability
Our total liability to you in connection with any project shall not exceed the total fees paid by you for that project. We are not liable for any indirect, consequential or economic losses, including loss of revenue, profit or business opportunity.
13. Confidentiality
We treat all client information as confidential and will not share it with third parties without your consent, except where required by law.
14. Data Protection
We process personal data in accordance with UK GDPR and our Privacy Policy, available on request.
15. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Changes to These Terms
We may update these terms from time to time. The current version is always available on our website.
